Welcome to Wellbee Social, a community-driven platform fostering natural and holistic wellness. These Terms of Service (“Terms”) govern your use of the Wellbee Social website and services. Websites include: Wellbee Social “https://wellbee.social“, Wellbee Academy “https://academy.wellbee.social“, and Wellbee Events “https://events.wellbee.social“.  including purchasing courses, event tickets, and products or becoming an Instructor. By accessing the platform and its subdomains, you agree to these Terms, our Privacy Policy and our Instructor Terms (if applicable).

If you do not agree with these Terms, please do not access or use our services.

Wellbee Social Inc. (“Wellbee,” “we,” “us,” or “our”), an Alberta-based corporation, operates this platform.

1. Overview of Services

Wellbee Social provides the following features:

• Courses: Purchase and participate in courses created by Instructors via Wellbee Academy.
• Events: Browse and purchase tickets for Instructor-hosted events via Wellbee Events.
• Products (coming soon): Buy physical and digital products from Instructor storefronts.
• Community Features: Create profiles, join groups, add blogs, and engage in wellness discussions by posting web links, media, images, documents and/or opinions.
• AI Tools:   Wellbee AI tools to assist Instructors in creating courses, marketing products, and event descriptions.
• Unlimited Wellbee AI: Optional upgrade for Unlimited Access to Wellbee AI Assistance.

2. Definitions

For the purposes of these Terms:

• “User” refers to any individual or entity using Wellbee Social’s Services.
• “Content” refers to text, images, video, audio, or other material on the Wellbee Social Platform.
• “Service” refers to Wellbee Social’s platform, including its website, subdomains, and tools such as Wellbee AI .
• “Wellbee AI” refers to Wellbee Social’s artificial intelligence tool designed to assist Instructors with course creation, event marketing, product descriptions, and related tasks.
• “Company” refers to Wellbee Social Inc., headquartered in Alberta, Canada.
• “Submitted Content” refers to text, images, videos, audio, blogs, group creations, event descriptions, courses and lessons, product images and description, uploaded by Users.
• “Enthusiast” refers to any individual who has created an account on Wellbee Social and self-identifies as an ‘Enthusiast’ at the time of registration and on their profile page. 
• “Professional” refers to any individual who has created an account on Wellbee Social and self-identifies as a ‘Professional’ in a holistic and wellness field. 
• “Instructor” refers to anyone who self-identifies as Professional on their profile page and during registration, and who has received an approval after submitting the Instructor Application form. 

3. User Roles and Responsibilities

3.1 Enthusiasts:

• Enthusiasts are registered users who participate in community activities such as joining groups, posting content, and purchasing courses, event tickets, and products.
• Enthusiasts cannot sell courses, event tickets, or products on the platform.

3.2 Professionals:

• Self-identified Professionals: Professionals are users who self-identify as having qualifications, credentials, or experience in a specific field. They can participate in community activities and publish content but cannot sell courses, event tickets, or products on the platform unless approved as Instructors after submitting an Instructor Application Form.
• Instructors: Professionals who have applied and been approved to receive an Instructor Badge. Instructors may sell courses, events, and products (coming soon).

3.3 Instructors:

• Instructors are Verified Professionals who have been granted Instructor Badges after completing the application and approval process.
• Instructors must abide by the additional Instructor Terms.
• Instructor status may be revoked at any time, for any reason or no reason, at Wellbee Social’s sole discretion.

4. Thematic Focus

Wellbee Social is a platform dedicated to promoting natural, holistic, and wellness-focused themes.

4.1 Approved Themes:

Core themes include:

• Homeopathy, Naturopathy, Ayurveda, Reiki, Nutrition, Fitness, Yoga, Meditation, Herbal Medicine, Aromatherapy, Crystal Therapies, Mental and Emotional Wellness, Bach Flowers, Sound Healing, Shamanic Healing, Holographic Bioalchemy, and Frequency Medicine.

4.2 Proposing New Themes:

Content in unlisted themes requires approval from the Wellbee Social Admin Team.

4.3 Content Moderation:

Wellbee Social reserves the right to remove content that violates these Terms or misaligns with our thematic focus.

5. Content Ownership and Licensing

5.1 Definition of User-Generated Content

User-Generated Content (UGC) refers to any content created and submitted by users on the Wellbee Social platform. This includes, but is not limited to:

• Textual Content: Such as posts, comments, forum discussions, and blog entries.
• Multimedia Content: Including images, videos, audio recordings, and live streams.
• Educational Materials: Like course content, lesson plans, instructional materials, and event descriptions.
• Product Listings: Descriptions, images, and details related to products offered by users.
• Interactive Content: Such as polls, quizzes, and surveys.
• Personal Data and/or Profile Information:  Including profile bio description

UGC is all content that users contribute, share, or upload to any part of the Wellbee Social platform, including profiles, groups, events, and other interactive features.

5.2 Ownership of User-Generated Content and License to Wellbee Social

Users retain full ownership of the content they create and submit on Wellbee Social, including but not limited to blog posts, comments, forum discussions, course materials, event listings, and multimedia content (“User-Generated Content” or “UGC”).
By posting or submitting UGC on the platform, you grant Wellbee Social a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, publish, translate, create derivative works from, publicly display, and publicly perform such content in connection with the operation, marketing, and promotion of Wellbee Social.
This license extends to all forms of media, including but not limited to Wellbee Social’s website, social media channels, newsletters, and promotional campaigns.

5.3 Copyright Infringement & Content Protection

Users agree not to copy, reproduce, modify, distribute, or publicly display any content posted by other users without obtaining explicit written permission from the original content owner. Unauthorized duplication of content from Wellbee Social on external websites or platforms without proper attribution or authorization constitutes a violation of these Terms and may result in immediate suspension or termination of the infringing user’s account.

Permitted Sharing : Users are allowed to share content from Wellbee Social via the platform’s built-in sharing features to social media networks such as Facebook, Instagram, LinkedIn, and others. These sharing tools ensure that the original content and attribution remain intact.

Reporting Copyright Infringement: If you believe your copyrighted content has been copied without permission and used improperly on Wellbee Social, you may file a complaint under our Copyright Infringement Policy (Section 7) for investigation and possible removal of the infringing content.

6. Community Guidelines

To maintain a safe, professional, and respectful environment, all users must adhere to the following Community Guidelines while using Wellbee Social:

6.1 Respect Content Ownership

• Do not copy, reproduce, or use another user’s content without permission.​
• If you wish to share someone’s work, provide proper credit and obtain their consent.

6.2 Ethical Participation

• No plagiarism, misinformation, or manipulation of content.​
• Avoid spamming, excessive self-promotion, or using Wellbee Social for commercial solicitation unless explicitly permitted.​

6.3 Report Copyright Violations

• If you believe your content has been copied without permission , report it following the process outlined in Section 7 .

6.4 Content Moderation & Platform Rights

• Wellbee Social reserves the right to remove or restrict content that violates these guidelines.
• Users who repeatedly violate the guidelines may face account suspension or permanent removal .

7. Copyright Infringement Reporting & DMCA Compliance

Wellbee Social respects intellectual property rights and requires users to do the same. If you believe that your copyrighted work has been copied and is accessible on Wellbee Social without authorization, you may submit a Copyright Infringement Notification Form which includes information such as:

• A description of the copyrighted work that has been infringed.
• The URL or location of the allegedly infringing material.
• Your contact details (full name, address, email, phone number).
• A statement affirming, under penalty of perjury, that you are the rightful owner or authorized to act on behalf of the copyright owner.

Counter-Notice: If you believe that your content was removed in error, you may submit a counter-notice here .

8. Wellbee AI

8.1 Wellbee AI for Instructors

Wellbee AI is a tool available to Instructors. The free version is given with limited usage capability. Instructors can use Wellbee AI for assistance in:

• Course creation and outlines.
• Event marketing descriptions.
• Product descriptions and promotional content (coming soon!)

Optional Subscription for Unlimited Wellbee AI Access. Terms include:

• Monthly Billing : Fees are billed monthly in advance.
• Cancellation Policy : Instructors may cancel at any time. Cancellations take effect at the end of the current billing cycle.
• No Refunds : Subscription fees are non-refundable, even if the Instructor discontinues using Wellbee AI before the end of the billing cycle.

8.2 Limitation of Liability for Wellbee AI

• Accuracy and Reliability : Wellbee AI outputs are suggestions based on input provided by Instructors. Wellbee Social does not guarantee their accuracy, reliability, or completeness. Content produced by Wellbee AI is for informational purposes only and should not be considered professional advice. Users are advised to exercise discretion and consult qualified professionals before making decisions based on AI-generated content.
• User Responsibility : Wellbee AI is provided “as is” and may not be error-free. Users are responsible for verifying and ensuring compliance of AI-generated content. Wellbee Social is not liable for outcomes from using Wellbee AI. Wellbee Social does not guarantee the accuracy, completeness, or reliability of AI-generated content. The platform shall not be held liable for any actions taken based on such content or for any errors or omissions therein.​
• Modification and Termination : Wellbee Social reserves the right to modify, suspend, or discontinue Wellbee AI at any time without notice. No refunds will be provided.
• Third-Party Services : Wellbee AI may rely on third-party services, and Wellbee Social is not responsible for any data breaches or issues arising from these integrations.
• Continuous Improvement: Wellbee AI is continually evolving. While we strive to improve its accuracy and functionality, users acknowledge that AI technologies have inherent limitations and may not always produce perfect results.

By subscribing to Wellbee AI, you agree to these terms.

9. Purchases and Transactions From Instructors

• Instructor Policies: Instructors set policies for shipping, cancellations, returns, and refunds. Users must review these policies before purchasing.
• Wellbee Social’s Role: We act as a platform provider and are not liable for disputes, quality issues, or delivery failures, including, but not limited to: non-delivery, defective products, or discrepancies in course, product, or event descriptions.
• Purchases : Users must be logged in or create an account to purchase courses, events, or products. Account creation or logging in allows users to communicate with Instructors and/or Event Organizers. 
• Transaction Fees : Instructors are subject to platform fees, as outlined in the InstructorInstructor Terms.
• Currency : All transactions are processed in Canadian dollars (CAD).

9.1 Fees and Charges

When purchasing courses, event tickets, or products through Wellbee Social, the following additional fees apply:

• Payment Processing Fee : A fee of 5.75% of the transaction amount is applied to cover payment gateway processing costs.
• Service Fee : A fee of 7.25% of the transaction amount is applied to support platform maintenance, customer service, and administrative operations.
• Fee Visibility : These fees will be clearly itemized as separate charges on the checkout page before payment is completed.
• Non-Refundable Fees : Payment processing and service fees are non-refundable , even in cases where a transaction is canceled or refunded.
• Fee Adjustments : Wellbee Social reserves the right to modify these fees as necessary. Any changes will be communicated through updates to these Terms and will be reflected on the checkout page.

9.2 Instructor Earnings and Platform Fees

• Instructors selling courses, events, or products through Wellbee Social are subject to platform transaction fees , which are deducted from their earnings.
• Wellbee Social applies a 5% payment processing fee and a 7% service fee to each transaction, which is deducted before payout to instructors.
• These instructor fees are separate from the fees charged to buyers during checkout.

10. Refunds and Cancellations from Instructors

10.1 Courses

Refunds for courses are subject to the following conditions:

• Users may request refunds within 7 days of purchase , provided no more than 10% of the course has been viewed or completed.
• Refund requests are reviewed on a case-by-case basis.
• Instructors will not receive revenue for refunded courses.

10.2 Events

Refunds for events follow these guidelines:

• Users may request refunds if the event is canceled or rescheduled.
• Instructors must disclose their refund policies on event descriptions. 
• Instructors will receive Event Payouts after the completed scheduled Event to allow for refund processing.

10.3 Products – coming soon

Refunds for physical or digital products are subject to Instructor policies, which must be clearly stated on their storefront. Instructors must outline:

• Shipping policies.
• Return, exchange, and refund terms.
• Maximum refund timeframe, not exceeding 20 days.

Instructors retain responsibility for managing refunds directly with Users. Wellbee Social facilitates transactions but is not liable for refund disputes.

11. User Responsibilities

11.1 General Responsibilities:

Users must:

• Provide accurate and complete information.
• Maintain the security of their accounts.
• Ensure uploaded content complies with laws and regulations.

Users must not:

• Share offensive, discriminatory, or illegal content.
• Impersonate others or misrepresent affiliations.
• Exploit vulnerabilities or compromise platform security.

11.2 Community Standards:

Users are expected to:

• Report inappropriate content or behavior.
• Respect others’ opinions, identities, and contributions.
• Avoid posting offensive, harmful, or discriminatory content.
• Report violations to Wellbee Social promptly.

12. Prohibited Activities

Users must not:

• Share harmful or inappropriate content.
• Introduce malicious software.
• Engage in unlawful activities or violate any applicable laws.
• Upload content infringing intellectual property rights.
• Use the platform for spam, phishing, or other malicious purposes.
• Impersonate others or misrepresent affiliations.
• Introduce harmful software or interfere with the platform’s functionality.

13. Intellectual Property

• User Content: Users retain ownership of their content but grant Wellbee Social a license to use it within the platform, and outside the platform for marketing and promotional materials. All ‘Submitted Content’ can be used by Wellbee Social to help promote the platform, this includes, but not limited to: snippets of course content, lessons, member profiles, posts, blogs, media, and other related content.
• Wellbee Content: Logos, designs, and platform elements are the intellectual property of Wellbee Social.

14. Instructor Specific Terms

Instructors are bound by the Instructor Terms, which govern their use of the platform to sell courses, events, and products.

Key highlights:

• Instructors must adhere to their own stated policies for shipping, returns, and refunds for products.
• Instructors are recommended to adhere to Wellbee Social’s return and refund policies for courses and events as stipulated in Section 10. 
• Instructors are responsible for accurate product descriptions, event details, and course content.
• Wellbee Social is not liable for transactions between Instructors and Users.

15. Ambassador Program

• Program Overview : Wellbee Social offers an Ambassador Program for individuals who wish to promote the platform in exchange for non-monetary benefits, such as featured content placements on the news feed and in newsletters.
• Independent Status : Ambassadors are not employees, agents, or representatives of Wellbee Social. Their opinions and statements do not reflect the views of the platform.
• Content Rights : By participating, Ambassadors grant Wellbee Social the right to use, modify, and feature their submitted content for promotional purposes.
• Code of Conduct : Ambassadors must adhere to Wellbee Social’s community guidelines and must not make misleading claims, engage in unethical promotions, or misrepresent Wellbee Social’s services.
• Program Termination : Wellbee Social reserves the right to remove any Ambassador from the program at its discretion if they violate the terms of participation.
• Agreement Acknowledgment : Participation in the Ambassador Program is subject to additional terms outlined in the Ambassador Agreement.

16. Disclaimers and Limitation of Liability

To the extent permitted by law, Wellbee Social is not liable for:

• Loss of data, revenue, profits, or business opportunities.
• Indirect, special, or consequential damages.
• Issues arising from third-party integrations or payment processors (e.g., PayPal) as explained in Section 16.1.

Wellbee Social Inc. shall not be liable for indirect, incidental, or consequential damages. Direct damages are limited to the amount paid by you to Wellbee Social in the six months preceding the claim.

 

16.1 Payment Processing Liability

• Wellbee Social uses third-party payment processors to handle transactions securely.
• By purchasing through the platform, users acknowledge that Wellbee Social is not responsible for any transaction failures, delays, or errors caused by third-party payment providers.
• Any disputes related to failed transactions, double charges, or payment failures must be resolved directly with the payment provider.

17. Termination and Account Deletion

• Wellbee Social reserves the right to terminate or suspend accounts for violations of these Terms or other policies.
• Users may request account deletion by contacting support.
• Submitted Content may remain on the platform even after an account has been deleted (e.g., courses and lessons that offer lifetime access).
• If Instructors request an account deletion, Wellbee Social admin team will conduct a review that all products and services promised to buyers have been delivered before the account can be deleted. Instructors requesting deletion must ensure all commitments to purchasers are fulfilled.

18. Modifications to these Terms and Fees

Wellbee Social reserves the right to modify these Terms of Service and associated fees at any time. Such changes will be effective upon posting the updated Terms on our website. We will notify users of significant changes through prominent notices on our platform or via email. Continued use of our services after such modifications constitutes your acceptance of the revised Terms and fees.

 

18.1 Changes to Fees

• Wellbee Social reserves the right to adjust service fees, payment processing fees, and other charges at its discretion.
• Any fee changes will be communicated via an updated Terms of Service , and the revised fees will be displayed on the checkout page before transactions are completed.
• Continued use of the platform after a fee change constitutes acceptance of the updated pricing structure .

WELLBEE SOCIAL INC. , d/b/a Wellbee Social or Wellbee (“us”, “we”, “our” or the “Company”), or Wellbee Academy or Wellbee Events respect your privacy and are committed to protecting it by complying with this Privacy Policy. Wellbee Social Inc. (“Wellbee,” “we,” “us,” or “our”) values your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, and protect your information when you use our website, applications, and services. We only collect data essential to deliver our services and fulfill legal obligations. We will not use your personal data for purposes not explicitly outlined in this Privacy Policy without obtaining your prior consent.

By submitting Information through our Services, you agree to the terms of this Privacy Policy, our Terms of Use, Instructor Terms as well as any other documentation referenced herein. If you do not agree you should discontinue use of the services immediately. Wellbee Social Inc. retains the right to deny or suspend access to anyone we reasonably believe has violated any provision of this Privacy Policy.

1. Information We Collect

We collect the following types of information:

1.1 Personal Information

• Account Data: Name, email address, phone number, and billing details collected during registration or transactions.
• Content Data: Information you submit, including blogs, posts, course materials, event descriptions, and product listings.
• Instructor Data: Bank account details for payouts, business information, and tax-related data for compliance.
• Instructor Application Form : In order to abide by regulations and compliance, a registration form for Professional to sell courses, events and/or products is required. Data within this form is collected and saved on local servers. Data includes, but not limited to: proof of identification, name, email, phone, business website, copies of qualifications and certifications.

1.2 Usage Data

• Log Data: IP address, browser type, operating system, and access times.
• Behavioral Data: Actions taken on the platform, such as course enrolment, event ticket purchases, product purchases, or group participation.
• Non-logged-in Visitors : Data collected is limited to essential cookies and analytics required for basic site functionality and performance.

1.3 Cookies and Tracking

We use cookies and similar tracking technologies to improve your experience. Cookies include:

• Essential Cookies: For account login and security.
• Analytics Cookies: To track user behavior on the site (e.g., Google Analytics).
• Optimization Tools: Tools like Image Optimizers and Media Offloader plugins to collect performance-related data to optimize content delivery.

2. How We Use Your Information

We use your information to:

• Provide Services: Enable course creation, event management, product listings, and community features.
• Facilitate Payments: Process transactions securely via integrated payment gateways like PayPal.
• Enhance User Experience: Use tools to enhance your networking and learning experience to deliver creation platforms for courses, events and products, in order  to deliver a personalized experience and user-based marketplace.
• Optimize Platform Performance: Leverage certain optimizing and caching plugins to improve site speed and efficiency.
• Communicate with You: Send updates, newsletters, and promotional content (with your consent).
• Ensure Security: Detect and prevent fraudulent or unauthorized activities.

3. Third-Party Integrations

We integrate with third-party services to enhance functionality. Third parties are contractually obligated to process your data solely for the purposes outlined in their agreements with us and comply with applicable privacy laws. These include, but not limited to:

3.1 Payment Processing

• PayPal and other payment processors. Your payment details are encrypted and handled directly by these services.
• Stripe
• WooPayments and WooCommerce

3.2 Analytics and Optimization

• Google Analytics to monitor website performance.
• Image Optimizers, Cache plugins and Media offloads  to help enhance speed, performance and functioning of the Website.

3.3 Media, Comments, Blogs and Posts

• If you upload images to the website, you should avoid uploading images with embedded location data (EXIF GPS) included. Visitors to the website can download and extract any location data from images on the website.
• Embedded Content Articles on this site may include embedded content (e.g. videos, images, articles, etc.). Embedded content from other websites behaves in the exact same way as if the visitor has visited the other website. These websites may collect data about you, use cookies, embed additional third-party tracking, and monitor your interaction with that embedded content, including tracking your interaction with the embedded content if you have an account and are logged in to that website.

3.4 Courses

• Course progress, including completion status, quiz scores, assignments and/or essay submissions are tracked and stored by the Instructor and Site Administrators.
• We will also store comments on courses, lessons, topics, assignments, and essays if the Instructor chooses to leave them.
• Order information with regards to: enrolled courses, course progress, username / email address.

3.5 Events, RSVPs, Tickets

• Event Creation Form Details   All information provided on the Event Creation Form is displayed on the Events Page and accessed by Website visitors and Site Admin
• If you create, submit, import, save, or publish event ticket information, as well as obtain RSVPs or purchase tickets to events, such information is retained in the local database:
  • Attendees information (RSVPs and Tickets): name and email address
  • Ticket information (RSVPs and Tickets): name, email address, and ticket number/SKU (via check-in page)
  • Ticket purchaser information: name and email address
  • Ticket purchaser billing address, which is collected through the use of WooCommerce, Easy Digital Downloads, and/or PayPal

3.6 Purchasing and Products

While you visit our site, we’ll track:

• Products you’ve viewed: we’ll use this to, for example, show you products you’ve recently viewed
• Location, IP address and browser type: we’ll use this for purposes like estimating taxes and shipping
• Shipping address: we’ll ask you to enter this so we can, for instance, estimate shipping before you place an order, and send you the order!

We’ll also use cookies to keep track of cart contents while you’re browsing our site. When you purchase from us, we’ll ask you to provide information including your name, billing address, shipping address, email address, phone number, credit card/payment details and optional account information like username and password. We’ll use this information for purposes, such as, to:

• Send you information about your account and order
• Respond to your requests, including refunds and complaints
• Process payments and prevent fraud
• Set up your account
• Comply with any legal obligations we have, such as calculating taxes
• Improve our offerings

If you create an account, we will store your name, address, email and phone number, which will be used to populate the checkout for future orders.
We generally store information about you for as long as we need the information for the purposes for which we collect and use it, and we are not legally required to continue to keep it.
We will also store comments or reviews, if you choose to leave them.

3.7 Other Plugins

• Third party plugins  that allow us to deliver the features of a Community, Social Networking features, Course Creation, Event Management, and a Store Marketplace.

Third parties may have access to limited personal information to perform their functions but are obligated not to disclose or use the information for other purposes.

4. Data Retention

We retain your personal information as long as necessary to:

• Fulfill the purposes outlined in this Privacy Policy.
• Comply with legal obligations (e.g., tax and accounting requirements).
• Resolve disputes and enforce agreements.

5. Your Privacy Rights

Depending on your location, you may have the following rights:

• Access and Correction: Request access to your data or correct inaccuracies.
• Deletion: Request the deletion of your personal data.

5.2 GDPR-Specific Rights

• Provide Services: Share data with payment processors or hosting providers
