Wellbee Social Inc. - Ambassador Agreement

This Ambassador Agreement (“Agreement”) is effective as of the date the Ambassador submits their application (“Effective Date”) and is entered into between Wellbee Social Inc. (“Company”) and the individual applying to become an Ambassador (“Ambassador”).
This agreement outlines the nature of participation, shared expectations, and governance boundaries within the Wellbee Ambassador ecosystem. By applying for or participating as an Ambassador, you acknowledge and agree to the terms below.
1. Nature of the Role
The Wellbee Ambassador role is a voluntary, unpaid contribution-based opportunity rooted in shared alignment with the community’s purpose. This role does not constitute employment, partnership, agency, or entitlement to compensation, equity, or future financial participation.2. Contribution Pathways
Ambassador participation may take different forms depending on capacity, alignment, and community needs. These pathways may evolve over time and are not fixed roles.- Community-based contributions (relational engagement, welcoming, visibility support)
- Operational contributions (projects, communications, content support)
- Strategic or leadership contributions (emerging based on demonstrated reliability and alignment)
3. Founder Authority and Governance
Wellbee Social operates as a founder-led ecosystem. Collaboration, contribution, and shared stewardship are valued; however, final structural, strategic, governance, and brand-related decisions remain under the authority of the Founder. Where appropriate, Wellbee may invite consultation or feedback from Ambassadors, but such consultation does not transfer decision-making authority unless explicitly stated in writing. Participation as an Ambassador, including as a Founder Ambassador, does not imply ownership, voting rights, governance authority, equity, or formal organizational control.4. Role Evolution and Participation Review
Ambassador participation is fluid and may be revisited periodically to ensure continued alignment with community needs, role fit, and the evolving structure of Wellbee.
These check-ins are relational and organizational in nature and are not intended to create an employment-style performance review structure.
Wellbee Social reserves the right to adjust, pause, reassign, or conclude Ambassador participation at its discretion, with or without cause, and with or without prior notice where reasonably necessary to protect the integrity of the community.
5. Quiet Disengagement Policy
If an Ambassador becomes inactive, unavailable, misaligned, or no longer suited to the evolving needs of the community, Wellbee may gently transition or conclude the role without public announcement.
This approach is intended to protect relational integrity, reduce unnecessary hierarchy or status dynamics, and allow role changes to occur with discretion and care.
Wellbee Social may conclude participation privately and without public explanation where it determines such action is in the best interest of the platform, community, or brand.
6. Representation and Community Conduct
Ambassadors agree to represent Wellbee with integrity and clarity. This includes refraining from:- Making medical, financial, or professional claims on behalf of Wellbee
- Misrepresenting Wellbee’s purpose, offerings, or leadership
- Engaging in conduct that disrupts psychological safety or community trust
7. Non-Solicitation and Ethical Engagement
Ambassadors agree not to use their Ambassador role, access, visibility, or relationship to the Wellbee community to aggressively solicit members into personal paid programs, services, memberships, events, or external commercial offerings in ways that undermine the integrity of the platform.
This includes, but is not limited to, repeated unsolicited outreach, private-message promotion, pressure-based invitations, or leveraging trust built through Wellbee primarily for personal commercial gain.
Ambassadors shall not use Wellbee’s member network, internal processes, strategic knowledge, or community relationships for personal competitive advantage, commercial leverage, or list-building without prior written consent from Wellbee Social.
8. Non-Competing Community Development
While actively participating as an Ambassador, you agree not to develop, promote, or intentionally grow a competing platform, membership space, or community ecosystem using Wellbee’s internal frameworks, community structure, strategic knowledge, or relational network.
Nothing in this clause prevents Ambassadors from operating their own independent practice, business, or offerings, provided they do not use Wellbee’s internal ecosystem, protected concepts, or member relationships in a manner that creates direct competitive harm or undermines the platform.
9. Content Usage and Media Rights
By participating as an Ambassador, you grant Wellbee Social a non-exclusive, royalty-free, perpetual, worldwide right to edit, adapt, reproduce, distribute, publish, display, promote, and reuse any content, media, or materials shared within the context of Ambassador participation.
This includes, but is not limited to:
- Social media
- Podcasts
- Educational materials
- Marketing and promotional campaigns
- Paid advertising
- Future repurposing across current or emerging Wellbee channels
You further agree that Wellbee Social may edit or adapt such content in its discretion and waive, to the fullest extent permitted by applicable law, any moral rights or similar approval rights in relation to such editing, adaptation, or reuse.
10. Ambassador Content Sharing
Ambassadors may share collaborative content through their personal platforms for visibility, relationship-building, and community support.
However, collaborative content created within the context of Wellbee Ambassador participation may not be repurposed, relicensed, sold, packaged, or otherwise used for direct commercial monetization without prior written consent from Wellbee Social.
11. Intellectual Property Integrity
Wellbee retains ownership of its brand identity, structural frameworks, community methodologies, and internal operational concepts. Ambassadors agree not to replicate or commercialize these elements independently.12. Voluntary Participation and Exit
Ambassadors may pause or discontinue participation at any time. Similarly, Wellbee Social may conclude Ambassador participation where alignment or conduct no longer supports the community’s evolution.13. Confidentiality
Ambassadors agree not to disclose, misuse, or share confidential or non-public information obtained through their participation with Wellbee Social.
Confidential information includes, but is not limited to, internal strategies, community processes, upcoming features, non-public marketing plans, platform development concepts, founder communications, and any other information reasonably understood to be confidential.
This obligation remains in effect for three (3) years following the end of Ambassador participation, and indefinitely with respect to trade secrets or proprietary internal frameworks not made public by Wellbee Social.
14. Ambassador Role Pathways
As Wellbee Social continues to evolve, Ambassador participation may take different forms based on alignment, contribution rhythm, demonstrated reliability, and community needs. These pathways are not intended as status tiers, but as distinctions in the type and consistency of involvement.
Community Ambassador
Community Ambassadors support the relational fabric of Wellbee through organic engagement, visibility, and community presence. This may include welcoming members, participating in discussions, sharing about Wellbee in aligned ways, and contributing to the overall tone and culture of the space.
Participation in meetings or initiatives is welcomed and appreciated, but not required, and contribution rhythm may vary depending on life cycles, capacity, and availability.
Founder Ambassador (Invite-Only)
A smaller Founder Ambassador circle may be formed by invitation based on demonstrated reliability, alignment, and sustained contribution to the operational building of Wellbee.
This pathway reflects deeper stewardship in supporting the growth, structure, and functioning of the platform, and may include more consistent involvement in areas such as operational support, content development, communications, coordination, or strategic initiatives.
Founder Ambassador participation remains fluid and may evolve as Wellbee grows. This pathway does not constitute employment, partnership, equity, governance authority, or formal decision-making power beyond what is explicitly communicated in writing.
15. Use of Title and Role Designation
Any Wellbee Ambassador title or role designation may only be used while the individual is actively participating in that role and remains in good standing with Wellbee Social.
Upon pause, conclusion, or termination of participation, the individual agrees to discontinue representing themselves as a current Wellbee Ambassador, Founder Ambassador, or any similar role connected to Wellbee unless expressly authorized in writing.
16. Agreement Acknowledgement
By applying for or participating in the Wellbee Ambassador role, you acknowledge that you have read, understood, and agree to the terms outlined above.
17. Indemnification
Ambassador agrees to indemnify and hold harmless Wellbee Social Inc., its Founder, officers, contractors, and affiliates from claims, losses, liabilities, damages, or expenses arising out of the Ambassador’s independent actions, representations, promotional activities, or breach of this Agreement.
Wellbee Social is not responsible for liability arising from the Ambassador’s independent business, content, outreach, or promotional conduct.
18. Governing Law
Jurisdiction: This Agreement shall be governed by the laws of Alberta, Canada.
19. Entire Agreement
This Agreement constitutes the full understanding between the parties with respect to Ambassador participation and supersedes prior discussions or understandings relating to the Ambassador role.
Wellbee Social may update this Agreement from time to time, and continued participation after such updates constitutes acceptance of the revised terms.
20. Agreement to Terms
By submitting the application to become a Wellbee Social Ambassador, the applicant acknowledges that they have read, understood, and agreed to the terms outlined in this Agreement.

This Agreement does not require a physical or electronic signature and will be considered accepted upon submission of the application form.
