Wellbee Social Inc. - Ambassador Agreement

By submitting an Application to Join the Ambassador Program you agree to these Terms of this Ambassador Agreement.
This Ambassador Agreement (“Agreement”) is effective as of the date the Ambassador submits their application (“Effective Date”) and is entered into between Wellbee Social Inc. (“Company”) and the individual applying to become an Ambassador (“Ambassador”).
1. Role and Responsibilities
- Promotion: Ambassador agrees to promote Wellbee Social’s brand, events, and content through various channels, including social media, blogs, and personal networks.
- Ethical Promotion: Ambassador must promote Wellbee Social in a professional and ethical manner. Misleading claims, false endorsements, or exaggerated statements are strictly prohibited. All promotion should align with Wellbee Social’s values of integrity, authenticity, and holistic wellness.
- Wellbee Social’s Commitment: Wellbee Social agrees to uphold the same values of integrity, authenticity, and ethical promotion in representing and promoting its Ambassadors. Ambassadors will be featured in Wellbee Social’s content with honesty, fairness, and respect for their contributions.
2. Performance Recommendations
Ambassadors are encouraged to actively engage with the Wellbee Social community. While participation is voluntary, the following recommendations serve as a guideline for meaningful involvement:
- Social Media Mentions – At least one post per week tagging #wellbee.social on Instagram or other relevant platforms.
- Community Engagement – Engaging within the Wellbee Social platform by commenting, sharing, or interacting with Wellbee Social’s content.
- Content Submission – Occasionally sharing user-generated content (such as blog posts, or videos) for potential feature in newsletters or the Wellbee Social news feed.
- Referral Impact – When applicable, sharing Wellbee Social with their network to help expand community reach.
Wellbee Social does not impose strict performance requirements but reserves the right to assess an Ambassador’s engagement based on visible activity and community impact.
3. Compensation
- Featured Content: In exchange for promotional efforts, Wellbee Social will feature Ambassador’s content on its news feed, newsletters, and paid marketing schemes on Facebook and Instagram.
- No Monetary Compensation: This Agreement does not entail any financial compensation unless explicitly stated.
4. Relationship of Parties
- Independent Contractor: Ambassador is an independent contractor and not an employee, agent, or partner of Wellbee Social.
No Authority: Ambassador shall not act on behalf of Wellbee Social or incur obligations on its behalf.
5. Content Rights
- License: Ambassador grants Wellbee Social a non-exclusive, royalty-free license to use, reproduce, and distribute the content created under this Agreement.
- Ownership: The Ambassador retains ownership of any content they create but grants Wellbee Social permission to use it for marketing, promotional, and branding efforts.
- Duration: Wellbee Social’s right to use Ambassador’s content remains valid indefinitely unless the Ambassador requests removal in writing.
6. Compliance with Advertising Standards
- Ambassadors must comply with all applicable advertising and disclosure regulations when promoting Wellbee Social.
- Ambassadors are solely responsible for ensuring that their promotional content adheres to platform guidelines and advertising standards.
7. Confidentiality
- Non-Disclosure: Ambassador agrees not to disclose any confidential information obtained during the course of this Agreement.
- Confidential Information Includes but is not limited to internal business strategies, upcoming features, or non-public marketing plans.
- Duration: This obligation remains effective for one (1) year after the termination of this Agreement.
8. Term and Termination
- Term: This Agreement begins on the effective date that the Ambassador submits the Ambassador Application Form and continues until terminated by either party.
- Termination: Either party may terminate this Agreement with written notice. Upon termination, Ambassador will cease using Wellbee Social’s intellectual property.
- Immediate Termination: Wellbee Social reserves the right to immediately terminate an Ambassador if they violate ethical guidelines, engage in misleading promotions, or act in a manner harmful to the brand.
9. Compliance and Laws
Legal Compliance: Ambassador agrees to comply with all applicable laws and regulations in their promotional activities.
10. Indemnification
- Hold Harmless: Ambassador agrees to indemnify Wellbee Social against any claims arising from their actions under this Agreement.
- Wellbee Social is not responsible for any liability arising from the Ambassador’s independent promotional activities.
11. Governing Law
Jurisdiction: This Agreement shall be governed by the laws of Alberta, Canada.
12. Entire Agreement
No modifications shall be valid unless agreed to in writing by both parties.
13. Agreement to Terms
By submitting the Application to Become a Wellbee Social Ambassador, the applicant acknowledges that they have read, understood, and agreed to the terms outlined in this Agreement. This Agreement does not require a physical or electronic signature and will be considered accepted upon submission of the application form.
